What is liquidation of a company?
Liquidation is the official termination of the existence of a legal entity. In Estonia, voluntary liquidation includes several stages: decision-making by the participants, appointment of a liquidator, publication of a notice, dealing with creditors, preparation of liquidation reports, distribution of the remaining assets and filing of the final documents with the Commercial Register.
A correctly conducted liquidation protects owners and directors from potential claims in the future and allows them to “close the page” on the business without tails and uncertainty.
Analysis and preparation
We check the state of the company: articles of association, members, debts, assets, accounts. On the basis of the analysis, we offer an optimal liquidation plan and a list of necessary steps.

- Как мы помогаем
Most often, a company is liquidated when the activities are effectively completed, it is no longer appropriate to maintain the legal entity, the structure is outdated or you are moving the business to another country. In some cases, liquidation may be part of a restructuring or preparation for a new project.
It is important to understand that liquidation is an orderly winding up of activities, not “just closing accounts”. Compliance with all formalities ensures that in a few years’ time you will not be asked questions about the old company: neither by the tax authorities, nor by the bank, nor by your counterparties.
On average, voluntary liquidation of an Estonian company takes 6-8 months – depending on debts, assets and the specifics of your situation.
The main steps of the procedure are:
- adoption of a resolution by the participants on liquidation and appointment of a liquidator;
- filing the decision with the Commercial Register and publishing the notice;
- period for creditors to file claims;
- settlement of liabilities and preparation of the liquidation balance sheet;
- distribution of the remaining property among the participants (if any);
- filing of final documents and de-registration of the company.
We explain upfront what deadlines and restrictions apply specifically to your company so you can plan your next steps.
We take care of the preparation and verification of documents, communication with the Commercial Register and, if necessary, with the tax authorities. We explain what reports need to be filed, what decisions to sign and how to minimize risks.
If you do not have an Estonian ID card or e-Residency, we will suggest alternatives: paper signing, notarization, power of attorney for a representative, etc.
Our goal is to make the liquidation process transparent and understandable for you: you know what happens at each stage and what it leads to in legal and tax terms.
